2. Definitions
For the purpose of these Terms:
Company means XIDAA MOTO PRIVATE LIMITED.

7. Product Availability
All Products are offered subject to availability.
The Company reserves the right to:

Withdraw any Product without prior notice.
Reject or cancel any order due to stock unavailability, pricing errors, technical issues, or any other legitimate business reason.
In the event of order cancellation by the Company, any eligible payment received will be refunded in accordance with the Company's Refund Policy.

Applicable GST and other statutory taxes shall be charged as per Indian law.

9. Business Model
XIDAA MOTO PRIVATE LIMITED operates on a Business-to-Business (B2B) model only.
The Company supplies products exclusively to:

Distributors
Institutional Buyers
Business Entities approved by the Company
The Company does not sell Products directly to retail consumers through its Website unless expressly notified otherwise.
The Company reserves the right to accept or reject any dealership, distributorship, or purchase request at its sole discretion.
10. Order Placement

Submission of an enquiry or purchase request does not constitute acceptance of the order.
An order shall be deemed accepted only after confirmation by the Company.

11. Payment Terms
Unless otherwise agreed in writing, 100% advance payment is mandatory for all orders.
The Company shall initiate processing of an order only after receipt of the full payment and successful confirmation of the transaction.
Accepted payment modes may include:
Bank Transfer (NEFT/RTGS/IMPS)
UPI
Other payment methods approved by the Company
Any bank charges or transaction charges, where applicable, shall be borne by the purchaser unless otherwise agreed.
Ownership of the Products shall remain with the Company until the full payment has been received.
12. Pricing & Taxes
All prices quoted by the Company:
are in Indian Rupees (INR);
are exclusive or inclusive of GST, as specifically mentioned in the quotation or invoice;
are subject to revision without prior notice until an order is confirmed.
The applicable GST and other statutory taxes shall be charged in accordance with prevailing Indian laws.
Any typographical, pricing, or calculation error may be corrected by the Company before dispatch.
13. Delivery Policy
The Company shall make reasonable efforts to dispatch or arrange delivery of Products within 48 (forty-eight) hours after receipt of complete payment, subject to:
Product availability;
Order confirmation;
Packaging requirements;
Transport availability; and
Force majeure or other circumstances beyond the Company's reasonable control.
The delivery timeline is an estimated timeline only and shall not constitute a guaranteed commitment.
The Company shall not be liable for delays caused by:
Transporters or logistics partners;
Natural disasters;
Government restrictions;
Public holidays;
Labour disruptions;
Weather conditions; or
Any other event beyond the Company's reasonable control.
Risk in the Products shall pass to the purchaser upon handover of the shipment to the transporter or logistics service provider, unless otherwise agreed in writing.
14. Inspection Upon Delivery
The purchaser shall inspect the Products immediately upon receipt.
Any shortage, visible damage, or incorrect delivery shall be reported to the Company within 48 hours of delivery, together with supporting photographs and relevant documents.
Failure to notify the Company within the above period may be treated as acceptance of the Products in good condition.
15. Cancellation Policy
As all Products are supplied under confirmed B2B transactions, orders cannot ordinarily be cancelled once they have been confirmed and payment has been received.
The Company may, at its sole discretion, consider a cancellation request before dispatch.
Where a cancellation is accepted, the applicable refund, if any, shall be processed after deducting any costs already incurred by the Company, including but not limited to packaging, logistics, banking charges, and administrative expenses.
16. Refund Policy
Refunds shall be considered only where:
the Company is unable to supply the ordered Product;
the Company cancels the order; or
any other circumstance specifically approved by the Company in writing.
Approved refunds shall be processed through the original mode of payment or by bank transfer within a reasonable period, subject to verification and applicable banking procedures.
The Company reserves the right to decline refund requests that do not comply with these Terms.
17. Invoice & Ownership
A valid tax invoice shall be issued for every completed sale.
Ownership of the Products shall transfer to the purchaser only after:
receipt of 100% payment; and
dispatch or delivery of the Products in accordance with the agreed terms.
Warranty, Battery Safety, Service & Limitation of Liability
18. Limited Product Warranty
XIDAA MOTO PRIVATE LIMITED warrants that its Products shall be free from manufacturing defects in material and workmanship for the applicable warranty period specified for the respective Product or component.
The Company's responsibility under this warranty shall be limited solely to the repair or replacement of the defective part, as determined by the Company after inspection.
The decision of XIDAA MOTO PRIVATE LIMITED regarding warranty eligibility shall be final and binding.
Warranty shall not entitle the purchaser to claim replacement of the complete vehicle, refund, compensation, or any consequential damages.
19. Warranty Conditions
Warranty shall be valid only if:
The Product has been purchased from XIDAA MOTO PRIVATE LIMITED or an authorized dealer.
Original tax invoice is produced.
Vehicle identification details are intact and unaltered.
Scheduled maintenance has been carried out as recommended.
Only genuine XIDAA spare parts and accessories have been used.
Repairs have been performed only by authorized service personnel.
20. Warranty Exclusions
Warranty shall become void and no claim shall be entertained if the defect or damage arises due to any of the following:
Deep discharged battery.
Battery stored in discharged condition for a prolonged period.
Failure to charge the battery for an extended period.
Overcharging or improper charging practices.
Charging with an unauthorized or incompatible charger.
Reverse polarity connection.
Short circuit.
Electrical overloading.
Voltage fluctuation or unstable power supply.
Water ingress or water damage.
Fire damage.
Flood damage.
Lightning or natural calamities.
Physical damage.
Accidental damage.
Collision or impact.
Mishandling.
Negligence.
Improper storage.
Unauthorized repair.
Tampering with battery, controller, motor or wiring.
Opening or dismantling sealed electrical components.
Modification of electrical wiring.
Installation of unauthorized accessories.
Controller burnout due to misuse.
Motor burnout caused by overload or misuse.
Damage caused by rodents, insects or animals.
Corrosion, rust or environmental deterioration.
Racing, stunts or abusive riding.
Commercial misuse beyond intended application.
Damage occurring after delivery during transportation arranged by the purchaser.
Failure to follow instructions contained in the User Manual.
21. Items Not Covered Under Warranty
Unless specifically stated otherwise, the following are not covered:
Tyres
Tubes
Brake shoes/pads
Bulbs
Fuses
Plastic body panels
Stickers
Paint finish
Seat cover
Rubber parts
Cosmetic defects
Scratches
Normal wear and tear
Cleaning and maintenance items
22. Battery Safety
The purchaser shall ensure that:
Only the original charger supplied or approved by XIDAA is used.
Battery is charged in a dry and well-ventilated area.
Battery is not exposed to excessive heat, fire or direct sunlight for prolonged periods.
Battery is not punctured, opened or dismantled.
Battery is not immersed in water.
Battery is charged periodically even when the vehicle is not in use.
Battery is disconnected immediately if abnormal heating, smoke or unusual smell is observed.
Failure to comply with these safety instructions may permanently damage the battery and void the warranty.
23. Service & Repairs
Only XIDAA authorized dealers or service centres shall perform repairs during the warranty period.
The Company shall not be responsible for defects resulting from repairs performed by unauthorized persons.
Use of non-genuine spare parts may result in immediate cancellation of warranty.
24. Availability of Spare Parts
The Company shall make reasonable efforts to maintain adequate stock of spare parts.
However, availability of spare parts may vary depending upon production schedules, product revisions, supplier availability and market conditions.
The Company shall not be liable for delays arising from temporary non-availability of spare parts.
25. Customer Responsibilities
The purchaser shall:
Read and follow the User Manual.
Operate the vehicle responsibly.
Maintain recommended tyre pressure.
Keep the battery adequately charged.
Avoid overloading beyond prescribed limits.
Use genuine spare parts.
Report defects promptly.
Follow all applicable laws and safety guidelines.
Failure to comply may result in rejection of warranty claims.
26. Limitation of Liability
To the maximum extent permitted by applicable law:
XIDAA MOTO PRIVATE LIMITED shall not be liable for any indirect, incidental, consequential, special or punitive damages.
The Company shall not be responsible for loss of business, loss of profits, loss of goodwill, loss of income or interruption of operations arising from the use or inability to use the Products.
The Company's maximum liability, whether arising in contract, tort or otherwise, shall not exceed the original invoice value of the Product giving rise to the claim.
The Company shall not be responsible for delays or failures caused by transporters, suppliers, government actions, natural disasters, strikes, pandemics or any event beyond its reasonable control.

27. Intellectual Property Rights
All intellectual property rights relating to the Company's Products, Website, designs, trademarks, logos, photographs, videos, brochures, catalogues, software, technical documents, product names and marketing materials are the exclusive property of XIDAA MOTO PRIVATE LIMITED.
No person shall, without prior written permission of the Company:

The purchaser agrees to indemnify and hold harmless XIDAA MOTO PRIVATE LIMITED, its Directors, employees, officers, dealers and representatives against any claims, losses, damages, liabilities, legal expenses or costs arising from:
Misuse of the Product;
Violation of these Terms;
Breach of applicable laws;
Unauthorized modification or repair of the Product.
33. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or relating to these Terms, the Products, the Website or any transaction with the Company shall be subject to the exclusive jurisdiction of the competent courts at Noida (Gautam Buddha Nagar), Uttar Pradesh, to the extent permitted by applicable law. �
